HARRISBURG, Pa. – (December 4, 2020) McNees Wallace & Nurick LLC attorneys Samantha Fugagli and Benjamin Ward will address the Tax and Fee Committee as part of the Marcellus Shale Coalition’s Annual Meeting on December 9, 2020.

Samantha and Benjamin’s presentation, “Surviving Mergers and Acquisitions—Your Role in the Transaction,” will discuss how company business segments can prepare for and support mergers and acquisitions. The discussion will focus on the reasons for and components of due diligence, as well as the importance of the parts of an asset or stock purchase agreement. Importantly, the trio will also explain the ongoing processes that a business can implement to prepare for a smooth transaction, should a merger or acquisition occur.

Samantha Fugagli practices in the McNees Corporate and Tax group.  She has experience in advising clients ranging from small partnerships and closely held corporations to large publicly traded companies on tax planning and strategic solutions related to complex restructuring, acquisitions, and integrations of their international operations. Additionally, Samantha has advised on U.S. federal income tax compliance and late relief matters.

Benjamin Ward practices in the McNees Corporate & Tax, Mergers & Acquisitions and Automotive Dealer Practice Groups.  His practice includes working with businesses through all phases of a transaction – whether a sale, acquisition, or other strategic venture – from negotiation and due diligence to the deal’s ultimate closing.  While Ben has experience working with clients in a vast array of industries, including automotive, healthcare, insurance, and other technologies, his intuition of efficiently identifying issues and solutions translates to any type of business. In addition to “deal work,” Ben routinely advises clients on general corporate matters such as entity formation, commercial contracting and other governance issues.
